Tranny not shifting correctly when warmed up

I have a 2000 EX PSD with 120k miles. All stock except 1705 SCT. When it's first started it runs like a champ, perfect shifts and no problems. After it gets warm, when I take off from a stop and give it about half throttle it stays in first gear and RPMs go up to 3-4k. I have to let off and let it get back to almost an idle before it shifts into 2nd. If I take off from a stop and give it about 1/4 throttle it will shift fine. I just removed the SCT, but I haven't driven it. I don't want to grenade the tranny. Anyone had this happen before? Is it just a sticking solenoid or valve body? Or does this sound PCM related, or is my tranny or TC toast? I bought the vehicle with 80k and don't know what's been done to it, there is no chip in the PCM. The tranny fluid is full, but dark. Doesn't smell burnt.
